Ethiopia Restricts Dangote Refinery IPO Participation to 100 Investors

Ethiopia has restricted participation in the proposed local offering of shares in Aliko Dangote’s refinery to qualified investors, limiting the number of participants to 100 unless the country’s capital markets regulator approves a higher figure.

The Ethiopian Capital Market Authority (ECMA) announced the restriction in a notice issued on October 13, 2026, as Dangote seeks to broaden African investor participation in the refinery’s planned initial public offering (IPO).

The restriction applies specifically to the proposed offering in Ethiopia and under the conditions, prospective Ethiopian investors must qualify under the regulator’s requirements before they can participate.

Intermediaries handling the offering are required to verify and document each prospective investor’s qualified status before permitting participation.

The ECMA also requires offering documents and promotional materials to state clearly that the securities are not available to the general public. Advertising must receive the necessary regulatory approval, while mass marketing to investors outside the permitted category is prohibited.

The wider Dangote Refinery IPO is seeking approximately $1.6 billion across Africa with the subscription deadline recently extended to October 27, 2026, to allow more time for regulatory procedures, account opening and efforts to broaden access for African investors.

Ethiopia’s framework provides a route for qualified investors to participate but prevents the offer from being marketed as an unrestricted public share sale.
