Bharti Airtel Acquires 16.3% Stake in Airtel Africa From ICIL in Share-for-share Deal

Bharti Airtel Limited has increased its direct ownership in Airtel Africa Plc after acquiring approximately 16.35% of the company’s issued share capital from Indian Continent Investment Limited (ICIL) through a share-for-share transaction completed on June 22, 2026.

The transaction raises Bharti Airtel’s direct stake in Airtel Africa to 79.22% from 62.32%, strengthening the telecom giant’s direct control over its Africa-focused subsidiary while leaving the group’s overall economic interest in Airtel Africa unchanged.

The development was disclosed in dual TR-1 Standard Forms for notification of major holdings filed by Bharti Overseas Private Limited and notified to Airtel Africa on June 24, 2026. The filing was signed by Group Company Secretary Simon O’Hara and approved for release in Nigeria.

Details of the Transaction

Under the restructuring, approximately 595.2 million Airtel Africa shares, representing a 16.3% stake, were transferred from Indian Continent Investment Limited (ICIL) to Bharti Airtel Limited.

In exchange, ICIL—incorporated in Mauritius—received approximately 146.8 million newly issued shares in Bharti Airtel Limited, which is incorporated in New Delhi, India.

The deal effectively swaps ICIL’s direct ownership in Airtel Africa for an equity interest in Bharti Airtel, simplifying the Bharti Group’s ownership structure without changing the group’s underlying economic exposure to Airtel Africa.

Following the transaction, Bharti Airtel’s effective interest in Airtel Africa increased from 62.32% to 79.22%, while ICIL now holds Bharti Airtel shares instead of directly owning Airtel Africa stock.

Internal Restructuring

The transaction forms part of an internal restructuring within the Bharti Group rather than a fresh investment or acquisition from external shareholders.

As a result, there is no change in the Bharti Group’s overall economic interest in Airtel Africa, since both Bharti Airtel and ICIL remain entities within the wider Bharti Group.

The restructuring primarily streamlines the ownership chain by moving direct ownership of Airtel Africa shares to Bharti Airtel, the group’s flagship telecommunications company listed in India.

Such internal reorganizations are commonly undertaken to simplify corporate structures, improve governance, enhance transparency for investors, and align ownership with the group’s principal operating entity.

What this Means for Airtel Africa

The transaction does not alter Airtel Africa’s day-to-day operations, management structure, customer base, or strategic direction.

However, the higher direct ownership gives Bharti Airtel greater control through a simplified shareholding structure and may improve administrative efficiency for future corporate actions, financing initiatives, and governance decisions.

Airtel Africa operates across 14 African markets, providing mobile voice, data, mobile money, and enterprise services. Nigeria remains its largest market by revenue and subscriber base, making the country central to the company’s long-term growth strategy.

The restructuring also comes as Airtel Africa continues to expand its digital services, mobile money platform, and broadband infrastructure across the continent amid rising demand for mobile connectivity and financial inclusion.
