Role Summary

The Assistant Company Secretary role will support the Company Secretary in the effective and efficient discharge of company secretariat/legal services duties and responsibilities to ensure the smooth administrative functioning of the department.

Roles & Responsibilities

  • Provide support for the company secretariat and ancillary services to the Board of Directors/Board Committees and other subsidiaries as directed by the Company Secretary.
  • Assist with filing and rendering statutory returns for the company and its subsidiaries to ensure compliance with applicable governance codes, as well as providing support in the statutory compliance process.
  • Represent the company in legal proceedings, including litigation, arbitration and regulatory investigations.
  • Facilitate negotiation, drafting and review of contracts and agreements.
  • Provide support in managing external counsel as necessary.
  • Maintenance of the registers and other statutory records required by law to be maintained by the Group’s Subsidiaries

Requirements

  • Bachelor of Laws (LL.B); Barrister at Law (B.L.) Call to the Nigerian Bar
  • Post Graduate degree will be an added advantage.
  • Relevant professional qualification is mandatory.
  • Minimum of 15 years’ experience and legal/company secretariat experience with at least 4 years in senior management cadre. Experience in the financial services industry and a Plc. is mandatory.
  • Strong analytical skills and strategic thinking capabilities.
  • Exceptional understanding of regulatory frameworks and guidelines.
  • Proven track record of building and leading effective company secretariat programmes within a financial services environment.
  • Familiarity with local and international laws, including trends and practices
  • Knowledge of the Nigerian legal system, corporate governance codes and practices
  • Good stakeholder management and interpersonal skills
  • High ethical standards and commitment to upholding corporate governance principles.
