UAC of Nigeria Plc has announced the consolidation of its acquisition special purpose vehicle (SPV), UAC Food and Beverage Company Limited (UFB), with C.H.I Limited, as part of efforts to streamline the corporate structure of the UAC Group.
The development was disclosed in a corporate notice dated February 5, 2026, and issued from Lagos, Nigeria.
The consolidation follows UAC’s earlier notification of October 3, 2025, when the company confirmed the completion of its acquisition of C.H.I Limited through the SPV. According to the statement, the integration of the acquisition vehicle into C.H.I Limited is intended solely to simplify the group’s organisational structure.
UAC clarified that UFB was established as a non-operating special purpose vehicle, and as such, the consolidation has no impact on the day-to-day operations of C.H.I Limited or other businesses within the group.
The move is consistent with post-acquisition best practices, allowing UAC to eliminate redundant corporate layers and enhance governance efficiency following the completion of a major transaction.
